The business may trade every day, but its Companies Office record still needs attention. The CIPZ portal gives Zimbabwean enterprises a central route for company registration, re-registration and annual returns under the COBE Act.

What the CIPZ Portal Does in Zimbabwe
CIPZ means Companies and Intellectual Property Zimbabwe. The CIPZ portal sits under the Companies Office, led by the Chief Registrar, and supports formalities under the Companies and Other Business Entities Act [Chapter 24:31], commonly called the COBE Act.
For a new private company, CIPZ registration online starts with a name search. For an established entity, the portal supports statutory company annual filing work and, for older companies and PBCs, the electronic-registry re-registration process.
These are separate tasks. A Companies Office annual return is not a ZIMRA tax return, and a current tax position does not remove the obligation to keep the company record current under the COBE Act.
Before you start
Prepare the company details before opening the CIPZ Zimbabwe login process. Directors should confirm the proposed or registered company name, registered-office details, director and secretary particulars, share information, and the documents relevant to the filing.
Do not use re-registration to make informal changes to the company name, directors, address or share structure. Each change needs its own COBE filing because the register must show a reliable legal history, not a mixture of unrelated corrections.

CIPZ Registration for a New Private Company
A private-company application begins with a CR2 name search. The current gazetted base fee for the name search is US$5. This step matters because the Companies Office must consider the proposed name before the company moves to incorporation.
Once the name receives approval in Form CV4, lodge the incorporation documents within 30 days. The required documents include duplicate Memorandum and Articles of Association, CR5 registered-office details, and CR6 details of directors and secretaries.
The current gazetted base fee to register a private company is US$40. The fee schedule allows payment in Zimbabwe dollars at the prevailing auction mid-rate for the relevant week, so finance teams should confirm the applicable payment amount before they fund the filing.
A successful application results in a certificate of incorporation Zimbabwe businesses use as evidence that the company now exists. It does not, on its own, complete tax, employment, sectoral licensing or banking requirements.
Step-by-step: company registration online
- Start a CR2 name search through the CIPZ portal registration process and pay the US$5 base fee.
- Wait for the Companies Office decision and retain the Form CV4 approval record.
- Prepare the Memorandum and Articles of Association in duplicate, plus CR5 and CR6.
- Submit the incorporation pack within 30 days of name approval and pay the US$40 registration base fee.

The form people often overlook is CR6. It records the company’s directors and secretaries, so inconsistencies between CR6 and the underlying appointment records can delay a clean governance review later.

Take a Bulawayo hardware retailer with two founders who want to separate business risk from their personal affairs. They budget US$45 in base Companies Office fees, comprising the US$5 name search and US$40 private-company registration, before any professional support or other business-start-up costs.
They receive name approval but leave the incorporation papers for three weeks. They then find a difference between the registered-office address on CR5 and the address in their internal records. They correct it before lodgement, which costs time but prevents the company from beginning with conflicting records.
If turnover remains uncertain, they should still complete company registration properly. Low first-year sales do not make the certificate of incorporation or the future annual return optional.
Company Re-Registration in Zimbabwe
Companies and PBCs registered before implementation of the electronic registry must re-register. The stated deadline is 20 April 2028 . Failure to re-register by that date triggers automatic deregistration and removal from the official register.
The deadline changed during 2026. SI 76 of 2026 extended it from 20 April 2026 to 20 April 2028, effective on publication in the Government Gazette dated 17 April 2026 . Directors working from old board packs or old social-media notices should replace those dates now.
The current fee schedule sets the re-registration fee at US$10. This is a small direct cost, but the consequence of missing the deadline affects legal standing, due diligence and commercial trust.
What re-registration is, and what it is not
Re-registration transfers an older company or PBC record into the electronic registry. It does not substitute for statutory filings that record a change in office bearers, address, name or capital structure.
One recurring error involves CR14, sometimes written as CR 14. CR14 is a statement by directors or an accounting officer for strike-off or voluntary winding up. It is not the annual return form Zimbabwe companies use, and it is not the form for ordinary director changes or CIPZ registration.

Illustrative example: an older family enterprise
Consider a Harare family property company incorporated before the electronic registry. The directors assume that its dormant status means it can wait until a sale becomes likely, even though the re-registration deadline is 20 April 2028.
The direct re-registration fee is US$10, yet the directors may face a much larger commercial cost if automatic deregistration interrupts a buyer’s due diligence. They should re-register while they have time to resolve old record differences and then handle any governance changes through the correct COBE forms.
If the company has ceased operations and the owners want to wind it up, they should seek specific advisory guidance before using CR14. Strike-off and voluntary winding up carry different legal consequences from electronic-registry re-registration.
Annual Returns Zimbabwe: The Filing Calendar
A company annual return falls due within 21 days after the anniversary of its incorporation, registration or COBE re-registration. The annual return must contain prescribed company, director, secretary, auditor, registered-office and share information, and a director and secretary must certify it.
The statutory filing fee is US$10. Late submission attracts a fee-based penalty calculated at 10% per month, capped at 10 months, and default can also expose the company and each defaulting officer to a category 3 civil penalty.
A dormant company still needs to file. The annual return keeps the public register current, which is why no trading activity does not remove the requirement.
A practical annual-return process
- Set the annual return deadline from the incorporation, registration or COBE re-registration anniversary.
- Reconcile the registered-office, director, secretary, auditor and share details against the company’s resolutions and statutory records.
- Enter the prescribed information in the annual return service on the CIPZ portal.
- Arrange certification by both a director and secretary before final submission.
- Pay the US$10 statutory filing fee and retain the submission and payment records.
Do not confuse CR17 with the annual return. CR17 declares that an AGM was held. It has a different purpose from the annual company filing.
The step most businesses skip is the internal reconciliation before they submit. A portal entry cannot repair a board record that never documented a resignation, appointment or office move.

Governance Judgement Calls for Directors
If your company registered after the electronic registry began, do not spend time on pre-registry re-registration unless the Companies Office specifically identifies a record issue. Focus on annual returns, correct post-formation filings and a clear record of changes.
If your annual return deadline falls within the next 21 days, treat it as a board-level compliance action. The US$10 filing fee is modest, while monthly late penalties and the risk to the company’s standing are avoidable.
